Groopik Terms of Service

The following are the terms and conditions for the use of the Groopik.com Services. Your usage of the Groopik.com Services will be subject to your conformity to the terms and conditions (Terms of Service) spelled out below. Please read carefully. By checking the "I have read the Groopik.com Terms of Service statement. I accept these terms and conditions." box where you sign up for the 30-day Free Trial, or after logging in for the first time, you accept these terms and conditions.

Groopik may update and modify the Terms of Service at any time without notice. Groopik may also add new features, update or discontinue any or all facets of the Service at any time. Any changes shall also be subject to the Terms of Service, and shall become effective upon the posting of the revised Agreement on the website. Should you continue to use the Service after any such modifications have been made, this shall constitute your agreement to such modifications.   1. Account Terms
    1. You must be 13 years old or older to use this Service.
    2. All members in your database must be 13 years old or older to use this service. You may have members younger than age 13 in your database, but members must be at least 13 years old in order to have access to their own MyGroopik page.
    3. The sign-up process requires that you provide your full legal name, a valid email address, and your organization’s name, city and state.
    4. You are responsible for maintaining the privacy and security of your account. Should you fail to protect your login information, including your password, Groopik.com will not be held liable for any damage or loss that may result.
  2. Payment and Account Information
    1. A credit card is not required to create or use a 30-day free trial account.
    2. If you initially sign up for an account, and you do not cancel that account within 30 days, you will receive a monthly invoice for charges beginning 31 days after that account was created. If you cancel the Service prior to the 30th day, you will not be charged anything. Invoices are sent electronically on the 20th of each month, for payment due on the 5th of the following month.
    3. Your account size will determine the standard fee you will be charged each month. Your standard fee is non-refundable, and will be billed to you in advance for each month. No refunds or credits will be given, and no exceptions will be made. This includes but is not limited to partial months of service, or should you not use the Service during a period of time when your account is open.
    4. Should you change your account size, your new billing rate will take effect immediately. The invoice you receive on the 20th of that month will be prorated to reflect your account’s change in size. You will receive an invoice with your new billing rate every 30 days thereafter unless you cancel your account.
  3. Service and Fee Changes
    1. Groopik reserves the right to revise, suspend, or discontinue the Service at any time for any reason with or without notice.
    2. Upon 30 days notice from us, Groopik reserves the right to change our monthly subscription fees. Notices regarding fee changes may be posted to the Service or on the Groopik website: http://www.groopik.com
  4. Cancellation and Termination
    1. You are the only one responsible for the proper cancellation of your account. You may cancel your account at any time. To do so, simply click on the Settings link. On your settings page, click on the Cancel Account button on the right hand side. Email or phone requests to cancel your account will not be regarded as a valid cancellation.
    2. Upon your cancellation of the service, the reporting module of your account will be deleted immediately. However, your members will continue to have access to the social network portion (MyGroopik pages) of the service.
    3. You can cancel your account at any time. You will however remain liable for all charges accumulated up to that time, including charges for the full month in which you discontinued the Service.
    4. Groopik reserves the right to revise, suspend, or cancel your account at any time for any reason without notice or refund. We also reserve the right to delete all content related with your account. Groopik may deny service to anyone for any reason at any time.
  5. Copyright and Ownership
    1. Groopik has sole ownership of all right, title, and interest in and to the Service and any art work, end-user interface elements, or software included in the Service. This includes all copyright and any other intellectual property rights contained within. You may not copy, modify, adapt, reproduce, distribute, display, reverse engineer, decompile, or dissemble any aspect, in whole or in part, of the Service which Groopik or its suppliers own.
    2. Groopik claims no intellectual property rights over the content you upload or your members provide on their My Groopik pages. However, by using the Service, you agree that others may view and share your content.
  6. Advertising with GroopAds
    1. Groopik will refund the full payment amount if we do not approve your ad for any reason.
    2. Groopik will NOT give refunds if we remove your GroopAd per your request, or if the site was down for any reason during the time your GroopAd should have run.
  7. General Conditions
    1. Your use of the Service, including any content, information or functionality contained within it, is provided "as is" and "as available". Groopik disclaims any and all representations or warranties of any kind. You assume total responsibility and risk for your use of this service.
    2. You agree not to resell, republish, duplicate, reproduce or exploit any part of the Service without Groopik’s prior written permission.
    3. You may not use this Service to post, store, share, or send any content that we believe to be harmful, threatening, defamatory, infringing, abusive, criminal, harassing, hateful, vulgar, obscene, fraudulent, invasive of privacy, ethnically objectionable, or which may subject Groopik or its users to any harm or liability of any type.
    4. You may not use this Service to solicit personal information from anyone under 18.
    5. You may not use the Service to store, post, share or send unsolicited email (spam) or SMS messages. This includes but is not limited to junk mail, chain letters, pyramid schemes or any other form of solicitation.
    6. You may not use this Service to solicit passwords or users’ personally identifying information for commercial or unlawful purposes.
    7. You understand that the service can be used for transmission of your content, and that during processing, your content, including personal messages and notifications, may be transferred unencrypted over the internet.
    8. You may not use the service to transmit any viruses, worms, or anything else designed to destroy or hinder the functionality of any computer hardware orsoftware.
    9. Groopik makes no guarantees concerning (a.) your ability to successfully use the Service, (b.) your satisfaction with the Service, (c.) that the Service will be available at all times, uninterrupted, and error-free (d.), the accuracy of mathematical calculations performed by the Service, and (e.) that glitches or errors in the Service will be corrected.
    10. Groopik, its affiliates and its sponsors are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive or other damages arising out of or relating in any way to your use of the Service or any of the Site content. Your only course of action for dissatisfaction with the Service is to stop using the Service.
    11. You acknowledge and agree that any suggestions, ideas or feedback (Submissions) concerning the Site or the Service provided by you to Groopik, will not be considered confidential. Such Submissions shall become the sole property of Groopik. Groopik shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and circulation of these Submissions for any purpose, without acknowledgment or compensation to you.
    12. If any provision of the Terms of Service is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall remain in full effect.
    13. The failure of Groopik to exercise any right provided for herein shall not be assumed a waiver of any right hereunder. The Terms of Service expresses the entire understanding between you and Groopik concerning the Service, and supercedes any previous agreements between you and Groopik.com (including, but not limited to, previous versions of the Terms of Service).
